Terms of Service

1. Overview

These Terms of Service (“Terms”) govern your access to and use of the websites, mobile experiences, and services operated by[ Company Legal Name] (“Novaddi,” “we,” “our,” or “us”) in Ghana, including prescription fulfillment, wellness packs, Enterprise UriScan screening, medical devices and consumables, and related support (collectively, the “Services”). By using the Services, you agree to these Terms and to any additional terms presented at point of use. If you do not agree, do not use the Services.

2. Who We Are

Novaddi operates a digital health platform in Ghana, working with licensed pharmacies and qualified healthcare professionals to fulfill prescriptions, provide diagnostics and wellness services, and deliver medical supplies. Some Services may be provided by or integrated with third parties (e.g., courier partners, payment providers, partner pharmacies).

3. Eligibility & Accounts

  1. You must be 18+ or of legal age in Ghana to use the Services.
  2. You are responsible for providing accurate information and maintaining the confidentiality of your login credentials.
  3. You must notify us immediately of any unauthorized use of your account.

4. Medical & Safety Disclaimers

  1. No emergency care. Do not use Novaddi for emergencies. Call your local emergency number in Ghana.
  2. Clinical oversight. Prescription fulfillment is performed by licensed pharmacists. Screenings (e.g., Enterprise UriScan) provide informational results and guidance; they are not a diagnosis. Always consult a qualified clinician for diagnosis and treatment decisions.
  3. Accuracy of information. We aim to provide reliable information, but errors may occur. Rely on clinician advice where there is any conflict.

5. Prescriptions & Clinical Services

  1. You warrant that any prescription uploaded is legitimate, issued to you (or a dependent under your legal care), and not altered.
  2. We or our pharmacy partners may verify prescriptions, contact prescribers, refuse or limit fulfillment, or adjust quantities to comply with law, safety, stock, or professional judgment.
  3. Certain medicines or devices may be restricted, cold-chain, or require ID in Ghana. You agree to comply with such requirements.
  4. Where a service requires your consent (e.g., screenings), you agree to provide informed, lawful consent and follow pre-/post-test instructions.

6. Enterprise UriScan

  1. UriScan provides rapid urinalysis screening supported by artificial intelligence for interpretation. Results are delivered to individuals and, where applicable, anonymized or aggregated insights may be provided to organizations.
  2. UriScan is not a substitute for medical advice. Abnormal results should be confirmed and managed by a clinician.

7. Pricing, Payments & Billing

  1. Prices, fees, taxes, and delivery charges are shown at checkout and are subject to change.
  2. You authorize us (and our payment processors) to charge your selected payment method.
  3. Subscriptions/auto-refill: If you enroll, you authorize recurring charges until you cancel in accordance with Section 10.

8. Shipping, Delivery & Risk of Loss

  1. Delivery options (home, pick-up, lockers) vary by location and product type within Ghana.
  2. Estimated delivery times are guides, not guarantees. Risk of loss passes to you upon delivery to your specified address/pick-up point.
  3. Cold-chain and controlled items may require your presence or identity verification.

9. Returns, Refunds & Replacements

  1. For medicines and diagnostic kits, returns are generally not accepted once dispensed/shipped, except where legally required in Ghana or if we are at fault (e.g., damaged, wrong item).
  2. For devices and non-pharmacy goods, returns may be permitted if unopened/unused within [X] days, subject to inspection and applicable Ghanaian law.
  3. Contact support@novaddi.com within [X] days of receipt for assistance.

10. Cancellations & Changes

  1. You may cancel orders before fulfillment where operationally possible.
  2. For subscriptions/auto-refill, cancel at least [X] days before the next cycle to avoid the next charge.
  3. We may cancel or refuse orders for regulatory, safety, stock, fraud-prevention, or operational reasons.

11. Acceptable Use

You agree not to: (a) misuse the Services; (b) submit false or unlawful information; (c) attempt to access others’ data; (d) interfere with security; (e) reverse engineer or scrape; or (f) use the Services for any illegal or harmful purpose.

12. Intellectual Property

All content, trademarks, and technology on the Services are owned by Novaddi or our licensors and are protected by law. You receive a limited, non-transferable, revocable license to access and use the Services for personal or authorized business purposes.

13. Third-Party Links & Integrations

Our Services may link to third-party sites or integrate with partners (e.g., Knoxxi Health for MediVault). We are not responsible for their content, policies, or practices. Your use of third-party services is governed by their terms.

14. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share personal information. By using the Services, you consent to such processing.

15. Warranties & Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by Ghanaian law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not guarantee uninterrupted or error-free Services.

16. Limitation of Liability

To the maximum extent permitted by Ghanaian law, Novaddi and its affiliates, officers, employees, and partners shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill, arising from or related to your use of the Services. Our aggregate liability shall not exceed the greater of: (a) amounts paid by you to Novaddi in the three (3) months preceding the claim; or (b) GHS [X].

17. Indemnity

You agree to indemnify and hold Novaddi harmless from claims, damages, losses, and costs (including reasonable legal fees) arising from your breach of these Terms or misuse of the Services.

18. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Ghana, without regard to conflict of laws. Disputes shall be subject to the exclusive jurisdiction of the courts of Accra, Ghana. Where applicable consumer law provides rights that cannot be waived, those rights remain unaffected.

19. Changes to the Services or Terms

We may modify the Services and these Terms from time to time. Material changes will be posted with a new effective date. Continued use following changes constitutes acceptance.
